Federal Judge Dismisses Jenner Memecoin Securities Case—Token Deemed Entertainment, Not Investment

A federal judge has dealt a significant blow to investors suing Caitlyn Jenner over her JENNER memecoin, ruling that the token fails to meet the legal definition of a security under US law. This crypto market intelligence matter highlights the ongoing gray area around memecoin classification and what constitutes an investment contract.

The Ruling: Entertainment Over Securities

California federal judge Stanley Blumenfeld Jr. dismissed the class-action lawsuit in his Thursday order, concluding that plaintiffs failed to establish that JENNER tokens qualified as unregistered securities. The core issue: the token lacked the structural hallmarks of an investment contract, particularly the pooling of investor funds or commitment to develop related products or technology.

"Defendants stated that '[t]he $JENNER token is a memecoin on the Ethereum blockchain intended solely for entertainment purposes,' and that its value would increase because Jenner would use her fame and influence to promote it, increasing demand," Blumenfeld wrote in his order.

The judge's critical observation cut straight to the heart of memecoin trading dynamics: "Promotion alone, however, does not establish a common enterprise absent pooling or a structure linking investor fortunes."

The Amended Complaint Falls Short

Investors initially filed suit in November 2024 after the token's price collapsed, claiming massive losses. Lee Greenfield, a UK citizen leading the amended complaint, alleged he lost over $40,000 investing in JENNER. His revised filing attempted a more sophisticated argument: that investors had effectively pooled assets through Jenner's promised mechanism where a 3% transaction fee would fund buybacks, marketing, Trump campaign donations, and fractionalized ownership in Jenner's Olympic gold medal.

However, Blumenfeld found this argument unconvincing. The judge noted that the amended complaint fixated on Trump-related donations without explaining how such contributions would generate financial returns for investors—a critical gap in securities law analysis.

"Nor is it clear that the alleged plan to distribute fractionalized ownership interests in Jenner's gold medal has any bearing on Greenfield's claim, since the plan was not announced until August 2024—after the last of his purchases—and was never executed," Blumenfeld added.

The JENNER Token's Troubled History

The JENNER story itself reveals the memecoin chaos plaguing crypto markets. Launched on Solana via Pump.fun in May 2024, the token quickly became controversial when Jenner and other celebrity memecoin creators claimed they were defrauded by collaborator Sahil Arora. Jenner then relaunched on Ethereum—a move that sparked investor backlash over the original Solana token's diminished value.

The token's trajectory tells the memecoin story: it peaked near $7.5 million in market value during June 2024 before hemorrhaging virtually all value. The judge denied the plaintiffs another opportunity to amend their complaint and determined that remaining claims under California contract and fraud law belonged in state court.

Alpha Take

This ruling clarifies a critical boundary in crypto market intelligence: celebrity promotion and increasing token demand through marketing efforts don't automatically trigger securities regulation, even when investor losses mount. For traders and portfolio managers, it underscores that memecoin volatility operates in legal limbo—entertainment classification shields issuers from certain liability frameworks. The real lesson isn't about Jenner; it's that crypto investors betting on celebrity tokens are making entertainment bets, not regulated investment plays, despite the financial consequences.
